Strony ustali\u0142y, \u017ce odsetki od udzielonej po\u017cyczki naliczane b\u0119d\u0105 w okresach miesi\u0119cznych i p\u0142atne b\u0119d\u0105 jednorazowo wraz ze sp\u0142at\u0105 ca\u0142o\u015bci po\u017cyczki w dniu 31.12.2024r.
\nStrony Umowy po\u017cyczki zgodnie ustali\u0142y, \u017ce Emitentowi przys\u0142uguje prawo do przedterminowego zwrotu ca\u0142o\u015bci lub cz\u0119\u015bci kapita\u0142u udzielonej po\u017cyczki.<\/p>\n
Zgodnie z warunkami zawartej Umowy po\u017cyczki wyp\u0142ata po\u017cyczki nast\u0105pi w dniu zawarcia Umowy.<\/p>\n
Emitent zabezpieczy\u0142 zwrot kwoty po\u017cyczki wraz z odsetkami oraz ewentualnych innych roszcze\u0144 jakie mog\u0105 powsta\u0107 z tytu\u0142u zawartej Umowy poprzez otrzymanie od Po\u017cyczkobiorcy weksla w\u0142asnego in blanco wraz z deklaracj\u0105 wekslow\u0105.<\/p>\n
Emitent ponadto informuje, \u017ce pomi\u0119dzy ATLANTIS SE, a sp\u00f3\u0142k\u0105 Patro Invest OU w Tallinie, Estonia zachodz\u0105 powi\u0105zania osobowe. Prezes Zarz\u0105du Emitenta pe\u0142ni funkcj\u0119 Prezesa Zarz\u0105du Po\u017cyczkobiorcy. Ponadto Emitent informuje, \u017ce po\u017cyczkobiorc\u0105 jest znacz\u0105cy akcjonariusz Emitenta _63,6%_.<\/p>\n
The Management Board of ATLANTIS SE in Tallinn, hereby informs that on 31\/12\/2019 the Issuer concluded as a Lender , a Cash Loan Agreement with Patro Invest OU with its registered office in Tallinn, Estonia _number in the Ariregister register Estonia: 14381342_ as the Borrower.<\/p>\n
Under the Agreement of 31\/12\/2019 the Issuer granted to the Borrower a cash loan in the amount of PLN 12.153.000 _in words: twelve milion one hundred fifty-three thousand_ for the period to 31\/12\/2024. The loan bears interest at the variable WIBOR interest rate for 1-month deposits + 0.5%.<\/p>\n
The parties agreed that interest on the loan will be calculated on a monthly basis and will be payable once together with the repayment of the entire loan on 31\/12\/2024.
\nThe parties of the loan agreement have agreed that the Issuer has the right to demand earlier repayment of all or part of the principal of the loan granted.<\/p>\n
Pursuant to the terms of the concluded Loan Agreement the loan will be paid out on the day of conclusion of the Agreement.<\/p>\n
The Issuer secured the repayment of the loan amount together with interest and any other claims that may arise from the concluded Agreement by receiving from the Borrower a blank promissory note together with a promissory note declaration.<\/p>\n
The Issuer also informs that there are personal ties between ATLANTIS SE and Patro Invest OU headquartered in Tallinn, Estonia. The Chairman of the Issuer’s Management Board acts as the Chairman of the Borrower’s Management Board.
\nMoreover, the Issuer informs that the Borrower is the Issuer’s significant Shareholder _63,6%_.<\/p>\n
