Obie zawarte w dniu 15 lutego 2021r. umowy zawarte zosta\u0142y pod warunkiem uchwalenia przez Nadzwyczajne Walne Zgromadzenie Emitenta programu skupu akcji w\u0142asnych Sp\u00f3\u0142ki w liczbie co najmniej 27.500.000 akcji za cen\u0119 umo\u017cliwiaj\u0105c\u0105 Sp\u00f3\u0142ce wykonanie umowy warunkowej.<\/p>\n
Przedmiotem pierwszej z warunkowych Um\u00f3w jest nabywanie przez sp\u00f3\u0142k\u0119 Patro Inwestycje U\u00dc, z siedzib\u0105 w Tallinnie akcji w\u0142asnych Emitenta w imieniu i na rzecz Sp\u00f3\u0142ki _Emitenta_.<\/p>\n
Przedmiotem drugiej z Um\u00f3w jest nabycie sp\u00f3\u0142k\u0119 Patro Inwestycje U\u00dc w Tallinnie akcji Emitenta w liczbie 27.500.000 akcji za cen\u0119 0,29 z\u0142 _dwadzie\u015bcia dziewi\u0119\u0107 groszy_ za ka\u017cd\u0105 akcj\u0119 w imieniu i na rzecz Sp\u00f3\u0142ki _Emitenta_. Umowa przewiduje, \u017ce termin zap\u0142aty przez Emitenta ceny nabycia akcji to 14 dni od dnia wej\u015bcia w \u017cycie Umowy, tj. od dnia spe\u0142nienia si\u0119 warunku opisanego powy\u017cej.<\/p>\n
The Management Board of ATLANTIS SE with registered office in Tallinn _hereinafter: the Company, the Issuer_, hereby in relation to the published on February 15, 2021 on the Company\u2019s website and by the ESPI report no. 7\/2021 Announcement on convening of the Extraordinary General Meeting of Shareholders on March 8 ,2021, the subject of which is to adopt the Company\u2019s own shares purchase in the number of up to 27.500.000 of shares, hereby informs that the Company on February 15, 2021 concluded two conditional Company\u2019s shares purchase agreements.<\/p>\n
Agreements concluded on February 15, 2021 the Company concluded with Patro Inwestycje U\u00dc, limited liability company of Estonian law ,with registered office in Tallinn. Both agreements concluded on February 15, 2021 were concluded on the condition that the Extraordinary General Meeting of the Issuer adopts a program of the Company\u2019s own shares purchase in the number of at least 27.500.000 shares at a price enabling purchase them by the Agreement.<\/p>\n
The first agreement\u2019s subject is the acquisition by Patro Inwestycje U\u00dc, with registered office in Tallinn, of the Issuer\u2019s own shares for and on behalf of the Company _Issuer_.<\/p>\n
The subject of the second Agreement is the purchase of Patro Inwestycje U\u00dc in Tallinn of the Issuer\u2019s shares in the number of 27.500.000 shares for the price of PLN 0,29 _twenty-nine groszy_ for each share for and on behalf of the Company _Issuer_. The agreement provides for the date of payment by the Issuer of the purchase price for the shares is 14 days from the date of entry int force of the Agreement i.e. the date of fulfillment of the condition described above.<\/p>\n
