Zarz\u0105d Atlantis SE informuje, i\u017c w skutek \u017c\u0105dania osoby podaj\u0105cej si\u0119 za pe\u0142nomocnika Komisji Nadzoru Finansowego, nieustalonej z imienia i nazwiska, wys\u0142anego do Gie\u0142dy Papier\u00f3w Warto\u015bciowych w dniu 21 stycznia 2022 roku, obr\u00f3t akcjami Emitenta pozostaje zawieszony od tego dnia.
\nZ uwagi na nap\u0142ywaj\u0105ce do Sp\u00f3\u0142ki pytania Akcjonariuszy Zarz\u0105d Emitenta przedstawia swoje stanowisko w niniejszej sprawie.

W zwi\u0105zku z tym Zarz\u0105d nie jest w stanie ustali\u0107 zasadno\u015bci zawieszenia, jak i nie jest w stanie nawet pozna\u0107 przyczyny. Co warte podkre\u015blenia KNF powinien poda\u0107 takie informacje do publicznej wiadomo\u015bci z urz\u0119du niezw\u0142ocznie, a nie na pro\u015bb\u0119 Zarz\u0105du Sp\u00f3\u0142ki ani \u017cadnego innego uczestnika rynku.
\nNiezale\u017cnie od przyczyn tego zawieszenia, Zarz\u0105d stoi na stanowisku, i\u017c zawieszanie notowa\u0144 Emitenta jest szkodliwe dla rynku, nawet je\u017celi by dosz\u0142o do nadu\u017cy\u0107 na rynku po stronie jednego albo kilku akcjonariuszy. W takim wypadku KNF powinien wskaza\u0107 te nadu\u017cycia w publicznym komunikacie, tak aby uczestnicy rynku mogli je zdiagnozowa\u0107 oraz prowadzi\u0107 handel w oparciu o wiedz\u0119 o tych nadu\u017cyciach.
\nJednocze\u015bnie Zarz\u0105d wskazuje, i\u017c Emitent pad\u0142 ofiar\u0105 podobnego bezprawnego zawieszenia notowa\u0144 w dniu 25 pa\u017adziernika 2012 roku, kiedy akcje Emitenta r\u00f3wnie\u017c zosta\u0142y zawieszone bez podania przyczyny. Nast\u0119pnie UKNF przekaza\u0142 informacj\u0119 o tym, i\u017c rzekomo na akcjach Emitenta dosz\u0142o do manipulacji akcjami, jednak\u017ce zgodnie z wiedz\u0105 posiadan\u0105 przez Zarz\u0105d Emitenta do dnia dzisiejszego nie dosz\u0142o do \u017cadnego post\u0119powania karnego w tej sprawie, a wi\u0119c przyczyna zawieszenia notowa\u0144 by\u0142a prawdopodobnie fa\u0142szywa i nieistniej\u0105ca. Zdaniem Zarz\u0105du nawet je\u017celiby faktycznie w owym czasie dosz\u0142o do manipulacji na akcjach Emitenta, r\u00f3wnie\u017c to nie usprawiedliwia w \u017caden spos\u00f3b zawieszenia notowa\u0144.
\nZarz\u0105d analizuje mo\u017cliwo\u015b\u0107 zg\u0142oszenia zawiadomienia o pope\u0142nieniu przest\u0119pstwa przeciwko osobom\/osobie kt\u00f3re wys\u0142a\u0142y niniejsze zawiadomienie do GPW, w zwi\u0105zku z artyku\u0142em 231 kodeksu karnego. Decyzj\u0119 Zarz\u0105d Emitenta podejmie po zapoznaniu si\u0119 z przyczynami zawieszenia notowa\u0144, chyba, \u017ce takie nie zostan\u0105 ujawnione sp\u00f3\u0142ce w rozs\u0105dnym czasie.
\nAktualnie Zarz\u0105d bior\u0105c pod uwag\u0119 powy\u017csze, jak r\u00f3wnie\u017c bior\u0105c pod uwag\u0119 niski szacunek do prawa ze strony urz\u0119dnik\u00f3w UKNF to z wysokim stopniem prawdopodobie\u0144stwa stwierdza, i\u017c przyczyna zawieszenia mo\u017ce albo nie istnie\u0107 albo by\u0107 fa\u0142szywa, wzgl\u0119dnie nie uzasadnia\u0107 zawieszenia notowa\u0144 sp\u00f3\u0142ki. Jednak\u017ce co warte podkre\u015blenia Zarz\u0105d w danym momencie nie zna przyczyny zawieszenia obrotu akcjami sp\u00f3\u0142ki.
\nCo istotne niezale\u017cnie od przyczyny zawieszenia notowa\u0144 sp\u00f3\u0142ki, sam brak szczeg\u00f3\u0142owego uzasadnienia zawieszenia notowa\u0144 jest ci\u0119\u017ckim naruszeniem prawa ze strony os\u00f3b wydaj\u0105cych tak\u0105 decyzj\u0119.<\/p>\n
The Management Board of Atlantis SE informs that in connection with the request sent to the Stock Exchange on January 21, 2022 by a person claiming to be a representative of the Polish Financial Supervision Authority, with no name and surname, the listing of the Issuer is suspended from that date.<\/p>\n
In the opinion of the Issuer’s Management Board, the request to suspend the quotation does not meet the statutory suspension conditions as it does not indicate detailed reasons for the suspension of the quotation. The Polish Financial Supervision Authority, being obliged to do so by the Act, did not meet the statutory criteria that must be included in the information about the suspension of quotation. Therefore, the Management Board is not able to establish the legitimacy of the suspension, and is not even able to find out the reason. It is worth emphasizing that the The Polish Financial Supervision Authority should disclose such information to the public ex officio immediately and not at the request of the Management Board or any other market participant.<\/p>\n
Regardless of the reasons for this suspension, the Management Board is of the opinion that the suspension of the Issuer’s quotations is harmful to the market, even if there were market abuses by one or several shareholders. In such a case, the Polish Financial Supervision Authority should indicate these abuses in a public announcement, so that market participants can diagnose them and trade based on their knowledge of these abuses.<\/p>\n
At the same time, the Management Board indicates that the Issuer fell victim to a similar unlawful suspension of quotations on October 25, 2012, when the Issuer’s shares were also suspended without giving any reason. Then, the Polish Financial Supervision Authority provided information that allegedly the shares of the Issuer had been manipulated, however, according to the knowledge of the Management Board of the Issuer, there has been no criminal proceedings in this case so far, so the reason for the suspension of the quotation was probably false and non-existent. In the opinion of the Management Board, even if the Issuer’s shares were actually manipulated at that time, this also does not in any way justify the suspension of the listing.<\/p>\n
The Management Board is analyzing the possibility of reporting a notification of a crime committed against the persons \/ person who sent this notification to the WSE, in connection with Article 231 of the Penal Code. The decision of the Issuer’s Management Board will be made after getting acquainted with the reasons for the suspension of quotations, unless such are not disclosed to the Company within a reasonable time.<\/p>\n
Currently, the Management Board, taking into account the above, and taking into account the low respect for the law on the part of the Polish Financial Supervision Authority officials, concludes with a high degree of probability that the reason for the suspension may either not exist or be false, or not justify the suspension of the company’s listing. However, what is worth emphasizing, the Management Board at the moment does not know the reason for suspending trading in the Company’s shares.<\/p>\n
Importantly, regardless of the reason for the suspension of the listing, the mere lack of a detailed justification for the suspension of listing is a serious violation of the law on the part of the persons issuing such a decision.<\/p>\n
