\nZgodnie z wydrukiem centralnej bazy danych wydzia\u0142u rejestrowego S\u0105du Okr\u0119gowego w Tartu z dnia 23.02.2024 r. oraz zgodnie ze statutem ATLANTIS SE _zwanej dalej „Sp\u00f3\u0142k\u0105”_, Sp\u00f3\u0142ka zosta\u0142a zarejestrowana w dniu 02.01.2019 r. w rejestrze S\u0105du Okr\u0119gowego Tartu, 10145, Estonia,pod nr 14633855 z kapita\u0142em zak\u0142adowym 33.750.000 euro, podzielonym na 337.500.000 akcji bez warto\u015bci nominalnej.<\/p>\n

Kr\u0105g akcjonariuszy uprawnionych do udzia\u0142u w walnym zgromadzeniu zosta\u0142 ustalony na godzin\u0119 23:59 dnia 16.02.2024 r. _dzie\u0144 ustalenia listy_. Wed\u0142ug ksi\u0119gi akcyjnej Sp\u00f3\u0142ki na dzie\u0144 23:59 dnia 16.02.2024 r., prowadzonej przez NASDAQ CSD SE _\u0142otewski kod rejestru 40003242879_, posiadaczem ok. 49,64 % akcji Sp\u00f3\u0142ki jest Krajowy Depozyt Papier\u00f3w Warto\u015bciowych S.A. _kod rejestru PL0000081582, zwany dalej „KDPW”_, kt\u00f3ry posiada 167 531 000 akcji bez warto\u015bci nominalnej w imieniu i na rzecz faktycznych akcjonariuszy Sp\u00f3\u0142ki oraz 50,36 % akcji posiada Patro Invest O\u00dc na swoim koncie, kod rejestru esto\u0144skiego 14381342_ co odpowiada 169 969 000 akcji bez warto\u015bci nominalnej.
\nLista akcjonariuszy Sp\u00f3\u0142ki obecnych na zgromadzeniu stanowi za\u0142\u0105cznik do protoko\u0142u. W za\u0142\u0105czeniu Protok\u00f3\u0142 Walnego Zgromadzenia Akcjonariuszy.<\/p>\n

Pursuant to the printout from the central database of the registration department of the Tartu County Court dated 23 February 2024, and in accordance with the Statute of ATLANTIS SE _hereinafter referred to as the „Company”_, the Company was filed with the registration department of the Tartu County Court on 02.01.2019 under the registry code 14633855, Tallinn, Harju county, Kesklinna district, Tornim\u00e4e str 5, 10145, Estonia with the share capital of 33 750 000 euros, which is divided into 337 500 000 non par value shares.The circle of shareholders entitled to participate at the general meeting has been established as at 23:59 of 16 Februrary 2024 _the date of fixing the list_. According to the share ledger of the Company as at 23:59 of 16 February 2024, which is kept by NASDAQ CSD SE _Latvian registry code 40003242879_, the holder of ca 49,64 % of the shares of the Company is the Polish register of securities _Krajowy Depozyt Papier\u00f3w Warto\u015bciowych S.A. _Polish registry code PL0000081582, hereinafter the „KDPW”_, which holds 167 531 000 non par value shares\/votes on its nominee account for and on behalf of the actual shareholders of the Company and the holder of ca 50,36 % of the shares of the Company is Patro Invest O\u00dc _Estonian registry code 14381342_, which holds 169 969 000 non par value shares\/votes on its account.<\/p>\n

The list of shareholders of the Company attending the meeting is annexed to these minutes. This list and the previous section show that 169 969 000 _i.e. 50,36%_ of all the votes represented by the shares were duly represented at the general meeting.<\/p>\n

The holding of the general meeting of the Company is subject to \u00a7 296 of the Commercial Code, which stipulates that if the requirements of law or of the articles of association for calling a general meeting are violated, the general meeting shall not have the right to adopt resolutions except if all the shareholders participate in or all the shareholders are represented at the general meeting. Resolutions made at such meeting are void unless the shareholders, with respect to whom the procedure for calling the meeting was violated approve of the resolutions.<\/p>\n

Therefore, the meeting has a quorum.<\/p>\n
