Zarz\u0105d Atlantis SE _”Sp\u00f3\u0142ka”_ informuje o rozpocz\u0119ciu procedury przeniesienia siedziby statutowej Sp\u00f3\u0142ki z Republiki Estonii do Republiki \u0141otewskiej, zgodnie z Art. 8 Rozporz\u0105dzenia 2157\/2001 w zw. z \u00a7 1876 esto\u0144skiej Ustawy o rynku papier\u00f3w warto\u015bciowych w sprawie statutu sp\u00f3\u0142ki europejskiej _SE_.<\/p>\n

W dniu dzisiejszym Zarz\u0105d Sp\u00f3\u0142ki sporz\u0105dzi\u0142 oraz zatwierdzi\u0142 projekt _plan_ przeniesienia siedziby wraz z wymaganymi za\u0142\u0105cznikami, w tym projektem statutu Sp\u00f3\u0142ki po przeniesieniu oraz sprawozdaniem Zarz\u0105du uzasadniaj\u0105cym prawne i ekonomiczne aspekty planowanego przeniesienia.<\/p>\n

Projekt _plan_ przeniesienia zostanie z\u0142o\u017cony do w\u0142a\u015bciwego rejestru handlowego oraz zostanie udost\u0119pniony publicznie zgodnie z obowi\u0105zuj\u0105cymi przepisami prawa.<\/p>\n

W za\u0142\u0105czeniu Sp\u00f3\u0142ka przekazuje projekt _plan_ przeniesienia wraz z za\u0142\u0105cznikami, obejmuj\u0105cymi w szczeg\u00f3lno\u015bci: proponowany nowy statut Sp\u00f3\u0142ki, harmonogram przeniesienia oraz sprawozdanie Zarz\u0105du.<\/p>\n

Zarz\u0105d wskazuje, \u017ce planowane przeniesienie siedziby ma na celu zwi\u0119kszenie efektywno\u015bci operacyjnej Sp\u00f3\u0142ki oraz optymalizacj\u0119 koszt\u00f3w prowadzonej dzia\u0142alno\u015bci, przy jednoczesnym zachowaniu ci\u0105g\u0142o\u015bci prawnej Sp\u00f3\u0142ki oraz jej formy jako sp\u00f3\u0142ki europejskiej _SE_.<\/p>\n

Przeniesienie siedziby nie wp\u0142ynie na notowanie akcji Sp\u00f3\u0142ki na rynku regulowanym prowadzonym przez Gie\u0142da Papier\u00f3w Warto\u015bciowych w Warszawie S.A..<\/p>\n

Podj\u0119cie uchwa\u0142y w sprawie przeniesienia siedziby nast\u0105pi przez walne zgromadzenie akcjonariuszy nie wcze\u015bniej ni\u017c po up\u0142ywie dw\u00f3ch miesi\u0119cy od dnia publikacji projektu _planu_ przeniesienia.<\/p>\n

Sp\u00f3\u0142ka b\u0119dzie informowa\u0107 o kolejnych istotnych etapach procesu przeniesienia siedziby w formie odr\u0119bnych raport\u00f3w bie\u017c\u0105cych.<\/p>\n

\nArt. 8 Rozporz\u0105dzenia 2157\/2001 w zw. z \u00a7 1876 esto\u0144skiej Ustawy o rynku papier\u00f3w warto\u015bciowych<\/p>\n

The Management Board of Atlantis SE _the „Company”_ hereby informs about the commencement of the procedure for the transfer of the Company’s registered office from the Republic of Estonia to the Republic of Latvia, in accordance with Article 8 of Council Regulation _EC_ No 2157\/2001 of 8 October 2001 on the Statute for a European company _SE_.<\/p>\n

On the date hereof, the Management Board of the Company has prepared and approved the transfer proposal _plan_ for the transfer of the registered office, together with the required annexes, including the draft articles of association of the Company following the transfer and the Management Board report explaining the legal and economic aspects of the planned transfer.<\/p>\n

The transfer proposal _plan_ has been submitted to the competent commercial register and will be made publicly available in accordance with applicable laws.<\/p>\n

The Company hereby provides, as attachments, the transfer proposal _plan_ together with its annexes, including in particular: the proposed new articles of association of the Company, the transfer timetable and the Management Board report.<\/p>\n

The Management Board indicates that the planned transfer of the registered office is intended to increase the Company’s operational efficiency and optimise the costs of its business activities, while maintaining the Company’s legal continuity and its legal form as a European company _SE_.<\/p>\n

The transfer of the registered office will not affect the listing of the Company’s shares on the regulated market operated by the Gie\u0142da Papier\u00f3w Warto\u015bciowych w Warszawie S.A..<\/p>\n

The resolution on the transfer of the registered office will be adopted by the general meeting of shareholders not earlier than two months after the publication of the transfer proposal _plan_.<\/p>\n

The Company will inform about subsequent material stages of the transfer process by way of separate current reports.<\/p>\n
