Raport bieżący nr 14/2024
Zarząd Spółki Atlantis SE _Emitent_ z siedzibą w Tallinnie informuje, że w dniu 19.12.2024 roku właściwy dla prawa Estonii rejestr spółek handlowych _Ariregister_ dokonał rejestracji zmian Statutu Spółki wynikających z uchwał podjętych przez Zwyczajne Walne Zgromadzenie Akcjonariuszy w dniu 2 grudnia 2024 roku.
W związku z niniejszym aktualne brzmienie punktów 2.1 oraz 2.4, Statutu Spółki jest następujące:
2.1 Minimalna wysokość kapitału zakładowego Spółki wynosi 30 375 000 _ trzydzieści milionów trzysta siedemdziesiąt pięć tysięcy _ euro, a maksymalna wysokość kapitału zakładowego wynosi 121 500 000 _ sto dwadzieścia jeden milionów pięćset tysięcy _ euro.
2.4. Minimalna liczba akcji Spółki bez wartości nominalnej wynosi 303 750 000 _ trzysta trzy miliony siedemset pięćdziesiąt tysięcy _ akcji, a maksymalna liczba akcji Spółki bez wartości nominalnej wynosi 1 215 000 000 _ jeden miliard dwieście piętnaście milionów_ akcji.
Obecnie kapitał zakładowy Spółki Atlantis SE wynosi 30 375 000 EUR oraz dzieli się na 303 750 000 akcji bez wartości nominalnej o wartości księgowej w wysokości 0,10 EUR na 1 akcję.
W załączeniu do niniejszego raportu Emitent przekazuje aktualne brzmienie Statutu Spółki w polskiej angielskiej oraz estońskiej wersji językowej.
The Management Board of Atlantis SE with its registered office in Tallinn informs that on 19/12/2024 , the Commercial Companies Register _Ariregister_, competent for Estonia’s law, registered the amendments to the Articles of Association of the Company resulting from resolutions adopted at the Ordinary General Meeting of Shareholders on December 2, 2024.
In connection with this, the current wording of points 2.1 and 2.4 of the Company’s Articles of Association is as follows:
2.1. The minimum amount of share capital of the Company is 30 375 000 _thirty million three hundred seventy-five thousand_ euros and the maximum amount of share capital is 121 500 000 _one hundred twenty-one million five hundred thousand_ euros.
2.4. The minimum number of the shares of the Company without nominal value is 303 750 000 _three hundred three million seven hundred fifty thousand_ shares and the maximum number of the shares of the Company without nominal value is 1 215 000 000 _one billion two hundred fifteen million_ shares.Currently, the share capital of Atlantis SE amounts to EUR 30 375 000 and is divided into 303 750 000 shares without par value with a book value of EUR 0,10 each.
